User Agreement and Privacy Policy
This User Agreement (“Agreement”) establishes the terms and conditions governing your use the platform (“Bid2Bill”) the an online marketplace platform (“Platform“) developed and operated by TransCPG (“Company,” “we,” “us,” or “our”). The Platform encompasses our website, mobile applications, and all associated digital tools and services. Your registration for an account, access to, or use of the Platform constitutes your acceptance of and agreement to be bound by this Agreement and our Privacy Policy. Our Privacy Policy is incorporated herein by reference and is available in our website and mobile applications.
1. Definitions
1.1 “Agreed Price” or “Win Price” means the successful bid price or negotiated price that a Buyer accepts to pay a Seller for goods or services requested through the Platform, as confirmed by both parties upon award of bid.
1.2 “Buyer” (also referred to as “Poster” or “Purchaser”) means the User who posts a Request seeking services or goods.
1.3 “Connection Fee” means the fees paid by the Seller in order to submit a bid in accordance with the Seller subscription package set out in Schedule 1.
1.4 “Payment Account” means TransCPG designated account used to hold funds based on the package chosen by Seller.
1.5 “Personal Data” means any information relating to an identified or identifiable natural person, as defined under applicable data protection legislation in the Relevant Jurisdiction.
1.6 “Request” means the request placed by a Buyer or Poster through the Platform seeking services or goods.
1.7 “Seller” (also referred to as “Bidder” or “Seller”) means any individual or entity that submits an offer through the Platform to provide goods or services in response to a Buyer’s Request.
1.8 “Transaction Fees” or “Success Fees” means the percentage charge by TransCPG and paid by the Seller in accordance with the Seller subscription package set out in Schedule 1.
1.9 “User” means (a) any natural person, of the age of 18 years or older, lawfully residing in a Relevant Jurisdiction where the Company or its affiliates operate; or (b) any entity or business duly incorporated or registered under the laws of the Relevant Jurisdiction where TransCPG or its affiliates operate; in each case, who registers on or uses the Platform in any capacity, including as a Buyer or Seller.
1.10 “Win Contract” means the binding agreement between a Buyer and a Seller formed in accordance with Clause 2.4.
2. Basic Principles
2.1 The Platform enables Buyers and Sellers to register free of charge. Buyers may publish Requests seeking goods and/or services, and Sellers may submit offers or bids in response, certain details of which may be publicly visible. Buyers may revoke or modify a Request at any time prior to its acceptance by a Seller.
2.2 A Win Contract is formed when a Buyer accepts a Seller’s bid or offer.
2.3 Upon the formation of a Win Contract, the Seller shall pay the applicable Success Fee into the designated Payment Account, in accordance with the subscription package selected by the Seller as set out in Schedule 1.
2.4 Once the Win Contract is created between Seller and Buyer, TransCPG’s services are deemed rendered and completed.
2.5 The Seller and the Buyer shall perform their respective obligations under the Win Contract, whereby the Seller shall deliver the agreed goods or services and the Buyer shall pay the Agreed Price to the Seller.
2.6 The Seller and the Buyer shall perform the Win Contract in an open, honest, and transparent manner, reflecting the values and principles of the Platform and adhering to the spirit of this Agreement.
2.7 The Win Contract may be varied by mutual agreement between Buyer and Seller through the Platform’s private messaging system.
2.8 If a Buyer cancels a Win Contract before the Seller performs it, the Buyer must inform the Seller of the cancellation on the Platform. If the cancellation is confirmed, then TransCPG shall refund the Success Fees to the Seller but excluding the non-refundable Connection Fee, if applicable.
2.9 After completion and performance of a Win Contract, Seller and Buyer are encouraged to leave a review on the Platform.
3. TransCPG Role and Obligations
3.1 TransCPG provides the Platform in exchange for the Connection Fee and Transaction Fees, in accordance with the Seller’s Package subscription as specified in Schedule.
3.2 TransCPG provides leads to Sellers and provides Buyers with possible best quote of the service or goods the Buyer is seeking.
3.3 TransCPG processes registration and on-boarding requests for all Users that meet the definition of User in this Agreement.
3.4 Individuals representing incorporated businesses must have proper authority to act on the business’s behalf.
3.5 TransCPG agrees to conduct all KYC formalities in order to ensure all Users are legitimate and licensed entities to conduct business activities in the Relevant Jurisdiction.
3.6 TransCPG reserves the right to refuse, suspend, or terminate a User’s account at its sole discretion if the User provides false, incomplete, or misleading information during the account registration process or at any time thereafter.
3.7 TransCPG reserves the right to terminate an account if the User breaches this Agreement or harms the Platform and/or TransCPG in any way.
3.8 Registration, account creation, and posting Requests are free of charge to all Users.
3.9 TransCPG does not verify any Sellers’ ability to perform their contractual obligations to Buyers. Buyers are solely responsible for conducting their own due diligence before entering into transactions with Sellers.
3.10 TransCPG accepts no liability for any part of the interaction and/or transaction between a Buyer and a Seller, including descriptions, fitness, performance, or delivery of goods or services.
4. Disclaimer and Limitation of Liability
4.1 TransCPG does not warrant that the Platform will be uninterrupted or error-free and is not responsible for any damage to Users’ devices or data.
4.2 TransCPG provides the Platform solely as a neutral, online venue to facilitate connections between Buyers and Sellers. TransCPG is not a party to any transaction, agreement, or contract entered into between Buyers and Sellers, including any Win Contract. TransCPG does not guarantee, endorse, or assume responsibility for the quality, fitness, safety, legality, or delivery of any goods or services offered or sold under any Win Contract, or the ability of Sellers to provide such goods or services, or the ability of Buyers to pay for them. TransCPG disclaims all liability arising out of or in connection with: (a) any acts, omissions, representations, or warranties of Buyers or Sellers; (b) the negotiation, formation, performance, or enforcement of any Win Contract; and (c) any loss, damage, claim, or dispute arising between Buyers and Sellers. All transactions are conducted entirely at the risk of the Buyer and Seller.
4.3 Except as expressly required by law, the Platform and all services provided by TransCPG are made available on an “as is” and “as available” basis, without warranties of any kind, whether express, implied, or statutory.
4.4 To the maximum extent permitted by law, the total aggregate liability of TransCPG to Seller or Buyer, arising out of or in connection with the Platform, any Win Contract, or this Agreement shall not exceed the lesser of (a) USD $100.00, or (b) the Success Fees actually paid by the Seller to the Company in respect of the transaction giving rise to the claim.
5. Dispute Resolution
5.1 TransCPG is not a party to, and shall have no liability in respect of, any disputes, disagreements, or claims arising between Users, whether a Seller and Buyer or otherwise, in connection with any Win Contract and/or any transactions conducted through the Platform.
5.2 TransCPG has no obligation to resolve disputes between Users but may, at its sole discretion, offer to facilitate or mediate discussions in order to enhance the User experience.
5.3 Users are solely responsible for conducting their own due diligence on counterparties to ensure such parties have the ability to perform their contractual obligations.
5.4 Users acknowledge and agree that TransCPG may, in its absolute discretion, disclose User information to other parties involved in a dispute, where reasonably necessary.
5.5 Users must cooperate fully with any mediation undertaken by TransCPG.
5.6 Nothing in this Agreement shall prevent a User from raising a dispute directly with another User in a competent court or other forum of applicable jurisdiction.
6. Indemnity
6.1 Users assume all risks arising from interactions on the Platform.
6.2 Users agree to indemnify, defend, and hold harmless TransCPG from any claims, liabilities, losses, damages, or costs related to their use of the Platform or services received from other Users.
7. User Obligations
7.1 Users must: (a) Comply with this Agreement and applicable laws; (b) Post accurate, lawful, and current information; (c) Understand and comply with laws relevant to their activities on the Platform related to the Relevant Jurisdiction.
7.2 Users must not: (a) Use the Platform for illegal, immoral, or harmful purposes; (b) Share account access with third parties; (c) Post harmful, abusive, defamatory, discriminatory, or obscene content; (d) Violate intellectual property or privacy rights; (e) Include malicious code or harmful software in any posting.
7.3 Sellers and Buyers, as the case may be, must: (a) Hold all necessary licenses and permits for services offered; (b) Comply with tax and regulatory obligations; (c) Not request payment outside the Platform; (d) Obtain Buyer’s prior written consent before subcontracting any part of a Win Contract, and only to another registered User.
7.4 Seller hereby represents and warrants that it holds titles and rights in and to the goods, materials and/or services it provides, and that its offer and acceptance of any Request shall not infringe upon any proprietary or other rights of third parties.
8. Fees, Charges, and Payment
8.1 The Connection Fee and/or Transaction Fees are payable when a Win Contract is formed in accordance with the Package Price set out in Schedule 1.
8.2 TransCPG is not responsible for the payment of Agreed Price or Win Price; the same is the responsibility of the Buyer.
10. Modifications to this Agreement
10.1 TransCPG may amend this Agreement or related policies at any time.
10.2 Material changes will be notified to Users upon their next login.
10.3 Continued use of the Platform constitutes acceptance of the amended terms.
11. No Agency
11.1 Nothing in this Agreement creates an agency, partnership, joint venture, or employment relationship between TransCPG and any User.
11.2 TransCPG is not responsible for the performance or non-performance of any third-party services promoted on the Platform.
12. Termination
12.1 Either party may terminate this Agreement at any time.
12.2 Termination does not affect any existing Win Contracts.
12.3 Provisions relating to Dispute Resolution (Clause 5), Fees (Clause 8), Limitation of Liability (Clause 4), Governing Law and Jurisdiction, shall survive termination.
13. Force Majeure
Users and/or TransCPG shall not be liable for any failure or delay in performance due to circumstances beyond their reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, strikes, government actions, or internet service failures, excluding non-payment or market conditions.
14. Governing Law and Jurisdiction
14.1 This Agreement shall be governed by and construed in accordance with the laws of the Relevant Jurisdiction.
14.2 Any disputes shall be subject to the exclusive jurisdiction of the courts of the Relevant Jurisdiction.
15. General Terms
Should any part of this User Agreement be declared invalid or unenforceable by a court of competent jurisdiction, this shall not affect the validity of any remaining portion, and such remaining portion shall remain in full force and effect as if the invalid portion of the User Agreement had been eliminated.
Schedule 1
Package Price
The Seller shall be required to pay, subscribe to, and maintain an active subscription under, either the Basic Package or the Premium Package.
(a) Transactional or basic package – “Pay as You Go”. Seller pays AED 1.00 to be able to submit a bid, irrespective of the outcome of the bid and if the bid is accepted, pays a 3.5% of the transaction value charged only on winning the bid.
(b) Premium Package – Cost Saving + Additional Features, where Seller subscription options are: AED 25/month, AED 70/quarter, or AED 250/year.

(i) Unlimited free bid submissions
(ii) 2.5% of the transaction value charged only on winning the bid.
(iii) Access to premium AI-powered tools, including: (a) the Winning Chance Predictor; and (b) the Substitute Product Offering functionality.
